1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and HootCodes LTD ("Company", "we", "us", or "our") concerning your access to and use of the VibeToast service ("Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

VibeToast is a notification service designed for developers working with AI coding assistants. The Service provides:

• Real-time toast notifications for development tasks
• Progress tracking and updates
• Desktop and mobile notification delivery
• Integration with popular IDEs and coding tools
• One-click focus commands to navigate to your editor

3. User Accounts

3.1 Account Creation

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

3.2 Account Eligibility

You must be at least 16 years old to use the Service. By creating an account, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our sole discretion.

4. Subscription Plans and Billing

4.1 Free Plan

The free plan includes up to 20 toast notifications per day. No payment information is required for the free plan.

4.2 Paid Plans

We offer the following paid subscription plans:

• Weekly: €2 per week, unlimited toasts
• Monthly: €5 per month, unlimited toasts
• Annual: €25 per year, unlimited toasts

4.3 Payment Processing

All payments are processed securely through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis according to your selected billing cycle.

4.4 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription fee.

4.5 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial billing periods.

4.6 Price Changes

We reserve the right to modify subscription prices. Price changes will be communicated at least 30 days in advance and will apply to subsequent billing periods.

4.7 Refund Policy

We offer a 14-day money-back guarantee for first-time annual subscribers. Weekly and monthly subscriptions are non-refundable. To request a refund, contact support@hoot.codes within 14 days of purchase.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws, regulations, or third-party rights
• Transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the Service
• Use automated systems (bots, scrapers) without permission
• Abuse the Service through excessive API calls or spam
• Share your account credentials with others
• Resell or redistribute the Service without authorization

6. Intellectual Property

6.1 Our Rights

The Service, including all content, features, functionality, software, and design, is owned by HootCodes LTD and protected by international copyright, trademark, and other intellectual property laws.

6.2 Your Rights

You retain all rights to the content and data you submit to the Service. By using the Service, you grant us a limited license to process and display your notification data solely to provide the Service to you.

6.3 Trademarks

"VibeToast", the VibeToast logo, and other marks are trademarks of HootCodes LTD. You may not use our trademarks without prior written permission.

7. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal data. By using the Service, you consent to our data practices as described in the Privacy Policy.

8. Service Availability and Modifications

8.1 Service Uptime

We strive to maintain high service availability but do not guarantee uninterrupted or error-free access. The Service may be temporarily unavailable for maintenance, updates, or due to technical issues.

8.2 Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We will not be liable for any modification, suspension, or discontinuation.

8.3 Beta Features

We may offer beta or experimental features. These features are provided "as is" without warranties and may be modified or removed at any time.

9. Disclaimers and Limitations of Liability

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOOTCODES LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR €100, WHICHEVER IS GREATER.

9.3 No Professional Advice

The Service is a notification tool and does not provide professional, legal, financial, or technical advice. You are solely responsible for your development practices and code.

10. Indemnification

You agree to indemnify, defend, and hold harmless HootCodes LTD, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

11. Third-Party Services

The Service may integrate with or link to third-party services, websites, or applications (e.g., Stripe, IDE integrations). We are not responsible for the content, policies, or practices of third parties. Your use of third-party services is subject to their respective terms and policies.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Bulgaria, without regard to its conflict of law provisions.

12.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in Sofia, Bulgaria, for resolution of any disputes arising from these Terms or your use of the Service.

12.3 Informal Resolution

Before pursuing formal legal action, we encourage you to contact us at legal@hoot.codes to resolve disputes informally.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and HootCodes LTD regarding the Service.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

13.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
